Terms of Service
Effective October 8, 2026 · Version 2026-10-08
1. Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between Bid Forge US LC, a Michigan limited liability company (“BidForge”, “we”, “us”), and the business that creates or uses a BidForge account (“you”, “Customer”). They govern your use of the BidForge website, applications and services (the “Services”).
You accept these Terms by ticking the box agreeing to them when you create an account, join an account by invitation or subscribe to a plan, or by using the Services. If you accept them on behalf of a company or other organization, you confirm that you are authorized to bind it, and “you” means that organization. You must be at least 18 years old.
The Services are offered for business use only. You confirm that you are using them for your trade, business or profession and not for personal, family or household purposes.
Our Privacy Policy explains how we handle personal information and is part of these Terms.
2. The Services
BidForge helps businesses find and respond to government contracting opportunities. It matches your business to opportunities published on SAM.gov and other public sources, and uses artificial intelligence to draft proposals, check them against solicitation requirements and research related information.
We may change, add or remove features over time. BidForge is not affiliated with, endorsed by or acting on behalf of SAM.gov, the General Services Administration or any other government agency.
3. Accounts, owners and sub accounts
- Each account has one account owner, who chooses the plan, manages billing and payment methods, and invites and removes other users.
- The owner may invite sub accounts to work in the account. Sub accounts act on the owner’s behalf: you are responsible for everything done through your account, by you or by anyone you give access to, and for keeping their access appropriate.
- You must give accurate information, keep it up to date, keep your login credentials secret, and tell us promptly at support@bidforge.us if you believe your account has been used without your permission.
4. Plans, payment and automatic renewal
- Paid plans are monthly subscriptions. Prices are shown on our pricing page and at checkout, in U.S. dollars, and do not include taxes, which you are responsible for where they apply.
- Your subscription renews automatically every month, and you authorize us (through our payment processor, Stripe) to charge your payment method on file at the start of each monthly period, until you cancel. Fees are charged in advance for the period ahead.
- You must keep a valid payment method on file. You authorize us to retry a declined charge and to charge any updated payment method you provide.
- We may change plan prices. A price change takes effect at the start of your next billing period after we give you at least 30 days’ notice by email; if you don’t agree, you can cancel before it takes effect.
- Changing plans takes effect as shown on the billing page when you make the change.
5. Included usage and additional usage
The Services use artificial intelligence, and each plan includes an amount of AI processing (“Included Usage”) suited to the use the plan describes. Included Usage is measured by us for your whole account, including sub accounts, and resets each billing period; unused Included Usage does not carry over.
If your account’s usage in a billing period goes beyond its Included Usage, we may charge for the excess (“Additional Usage”) at our then-current rates. Additional Usage is billed to your payment method on file with your next periodic charge or on a separate invoice, and is shown as its own line item. We will email the account owner when Additional Usage begins in a billing period. You can limit Additional Usage by limiting how much the account uses the AI features.
6. Cancellation
You can cancel at any time from the billing section of your account page, or by emailing support@bidforge.us. Cancellation stops your next renewal: your plan stays active, with full access, until the end of the period you have already paid for, and you will not be charged again. Cancellation does not end the current period early or refund it.
7. No refunds
All fees are non-refundable. We do not give refunds or credits for partial billing periods, unused time, unused Included Usage, Additional Usage, downgrades, periods in which you did not use the Services, or accounts suspended or ended for breach of these Terms or non-payment, except where a refund is required by law.
8. Failed payments and suspension
If a payment fails, we and Stripe will retry it, and we may suspend access to the Services for your whole account, including sub accounts, until the outstanding balance is paid. The account owner can update the payment method and pay the balance at any time from the billing page. If a balance remains unpaid, we may cancel the subscription. Amounts owed remain due, together with reasonable costs of collection.
9. Billing questions and chargebacks
If you think a charge is wrong, email support@bidforge.us within 60 days of the charge, before contacting your bank or card issuer, so we can look into it and correct any error.
If you dispute a charge with your bank or card issuer (a “chargeback”) for a charge that is valid under these Terms, we may suspend the account while the dispute is open, and the amount remains owed. You agree that, to respond to a chargeback, we may give the payment processor and card issuer records of your account, your acceptance of these Terms (including when, from where and which version), your subscription and cancellation history, and your use of the Services.
10. AI-generated content and your responsibility for submissions
The Services generate drafts, summaries, compliance checks, matches and other content using artificial intelligence (“Output”). Output may be inaccurate, incomplete, out of date or unsuitable for your purpose, and may differ from what a solicitation requires. You must review, verify and edit all Output before relying on it or submitting it to anyone.
You are solely responsible for every proposal, bid, quote, certification, representation, registration and other information that you, or anyone using your account, submits to any government agency, prime contractor or other party, whether or not it was prepared with the Services. This includes your SAM.gov registration, business size and socioeconomic status, set-aside eligibility, pricing, past performance, personnel, and compliance with the Federal Acquisition Regulation, agency supplements, the False Claims Act and every other law and solicitation term that applies to you. You will not use the Services to submit information you know or should know is false or misleading.
BidForge is not a party to any submission or contract between you and a buyer, does not act as your agent, and does not give legal, accounting, tax or procurement advice.
11. No guarantee of results
We do not guarantee that you will find, win or be awarded any opportunity or contract, or any particular outcome from using the Services. Opportunity information, including deadlines and amendments, comes from SAM.gov and other public sources, which may be incomplete, delayed or wrong; always confirm details against the official solicitation before you rely on them.
12. Your content
You own the information, documents and other material you or your users put into the Services (“Customer Content”), and, as between you and us, the Output generated for you. You give us a non-exclusive, worldwide license to host, copy, process, transmit and display Customer Content as needed to provide, secure and support the Services, including by sending it to the service providers listed in our Privacy Policy, such as the artificial intelligence providers that generate Output.
We do not sell Customer Content, and we do not use it to train our own artificial intelligence models. We may use aggregated and de-identified information about how the Services are used to operate and improve them. You confirm that you have the rights needed to put Customer Content into the Services. If you send us feedback or suggestions, we may use them without obligation to you.
13. Acceptable use
You will not, and will not let anyone else:
- use the Services for anything unlawful, deceptive or fraudulent;
- share a login between people, or let more people use the account than you have invited;
- copy, resell, sublicense or provide the Services to third parties as a service of your own;
- scrape, reverse engineer or try to extract the source code, models or data of the Services;
- interfere with, overload or probe the security of the Services, or get around usage limits; or
- upload malware, or material you have no right to use, including classified or export-controlled information.
We may suspend or end access that breaks this section.
14. Third-party services
The Services rely on third parties, including Stripe for payments and providers of hosting and artificial intelligence. Payments are also subject to Stripe’s terms. We are not responsible for third-party websites, data sources or services that we do not control.
15. Our intellectual property
The Services, including their software, design, text, graphics and the BidForge name and logo, belong to us and our licensors. Subject to these Terms and payment of your fees, we give you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes while your account is in good standing.
16. Disclaimer of warranties
The Services and all Output are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranty that the Services will be uninterrupted, timely, secure or error-free.
17. Limitation of liability
To the fullest extent permitted by law, BidForge and its members, managers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, contracts, awards, bids, data or goodwill, arising out of or relating to these Terms or the Services, however caused and even if we were told they were possible.
Our total liability for all claims arising out of or relating to these Terms or the Services will not exceed the fees you paid us for the Services in the 12 months before the event giving rise to the claim.
18. Indemnification
You will defend, indemnify and hold harmless BidForge and its members, managers, employees and agents from any claim, loss, liability, penalty or expense (including reasonable attorneys’ fees) arising out of or relating to: your proposals, bids and other submissions; Customer Content; your use of the Services or Output; any certification or representation you make to a government agency or other party; or your breach of these Terms or of any law.
19. Suspension and termination
You may stop using the Services and cancel as described in section 6. We may suspend or end your access, with or without notice, if you do not pay, break these Terms, or use the Services in a way that could harm us, other customers or third parties. After your account ends, your right to use the Services ends and we may delete Customer Content; export anything you need before then. Sections 5 and 7 through 22, and any fees owed, survive the end of these Terms.
20. Disputes: informal resolution, arbitration and class action waiver
Talk to us first. Before starting any formal proceeding, the party with a dispute will email the other a description of it (to us at support@bidforge.us, to you at the account owner’s email address) and both will try in good faith to resolve it for 30 days.
Binding arbitration. Any dispute, claim or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in the State of Michigan. The arbitrator decides questions about the scope and enforceability of this agreement to arbitrate. Judgment on the award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in a small claims court that has jurisdiction, and either party may ask a court for an injunction to protect its intellectual property or confidential information.
Class action and jury trial waiver: you and BidForge may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. You and BidForge each waive any right to a jury trial.
Time limit. Any claim must be brought within one year after it arises, or it is permanently barred.
21. Governing law
These Terms are governed by the laws of the State of Michigan and applicable federal law, without regard to conflict-of-laws rules. Subject to section 20, the state and federal courts located in Michigan have exclusive jurisdiction, and you and we consent to their personal jurisdiction.
22. General
- Changes to these Terms. We may update these Terms. We will notify the account owner by email or in the Services at least 15 days before a material change takes effect, and may ask you to accept it. Continuing to use the Services after a change takes effect means you accept it. A change does not apply to a dispute that arose before it took effect.
- Electronic communications. You agree to receive notices, receipts and other communications electronically, and that ticking a box or clicking to accept is your electronic signature and has the same effect as a signature on paper.
- Notices. We send notices to the account owner’s email address. You send notices to support@bidforge.us.
- Entire agreement. These Terms, the Privacy Policy and the plan you choose at checkout are the entire agreement between you and us about the Services.
- Other terms. If any provision is found unenforceable, it will be enforced to the fullest extent possible and the rest remain in effect. Not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
